Terms of Service

1. Acceptance of Terms

By accessing or using the JUICE platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and JUICE.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using JUICE, you represent and warrant that:

  • You have the legal capacity to enter into these Terms
  • You are not located in, or a citizen or resident of, any jurisdiction where use of the Service would be prohibited or restricted
  • You are not on any sanctions list maintained by the United States, European Union, United Nations, or other applicable jurisdiction
  • You will comply with all applicable laws and regulations in your jurisdiction

3. Description of Service

JUICE provides automated token management services on the Solana blockchain, including but not limited to:

  • Juice Module: Automated fee processing with liquidity provision (LP Mode) and token burning (Burn Mode) capabilities
  • Market Making Module: Automated trading strategies with performance analytics and P&L tracking
  • Telegram Bot Integration: Account management and notifications via Telegram

The Service interacts with decentralized blockchain networks and smart contracts. We do not control these underlying protocols and are not responsible for their operation, security, or availability.

4. Account Security

You are responsible for maintaining the security of your account credentials, including any private keys or wallet information you provide to the Service. You agree to:

  • Keep your login credentials and private keys confidential
  • Immediately notify us of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account
  • Use strong, unique passwords and enable two-factor authentication where available

Private keys submitted for automated trading are encrypted using AES-256 encryption and stored securely. However, you acknowledge that providing private keys to any third-party service carries inherent risk.

5. Digital Asset Risks

IMPORTANT: Digital assets and cryptocurrency trading involve substantial risk of loss and are not suitable for all users.

By using the Service, you acknowledge and accept the following risks:

  • Market Volatility: Digital asset prices can fluctuate dramatically. You may lose some or all of your investment.
  • Regulatory Risk: The regulatory landscape for digital assets is evolving. Changes in laws or regulations may adversely affect the Service or your assets.
  • Technical Risk: Smart contracts, blockchain networks, and automated systems may contain bugs or vulnerabilities that could result in loss of funds.
  • Liquidity Risk: Some tokens may have limited liquidity, resulting in slippage or inability to execute trades.
  • Counterparty Risk: Third-party exchanges, protocols, and services we interact with may fail or become unavailable.
  • Irreversibility: Blockchain transactions are generally irreversible. Errors cannot be undone.

Past performance does not guarantee future results. Only invest what you can afford to lose.

6. Fees

The Service charges the following fees:

  • Juice Module: 5% platform fee per cycle, with 5% retained in the fee wallet for operational costs
  • Market Making Module: 0.3% per trade, which may be reduced by holding $JUICE tokens

Network transaction fees (gas) are separate and paid directly to the Solana network. We reserve the right to modify fee structures with 30 days advance notice.

7. Prohibited Activities

You agree not to engage in any of the following:

  • Using the Service for money laundering, terrorist financing, or other illegal purposes
  • Manipulating markets, including wash trading, spoofing, or front-running
  • Attempting to circumvent security measures or exploit vulnerabilities
  • Using automated tools to scrape data or overload our systems
  • Impersonating others or providing false information
  • Violating applicable laws, regulations, or third-party rights
  • Registering tokens that infringe intellectual property or are associated with fraudulent projects

We reserve the right to suspend or terminate accounts that violate these Terms without prior notice.

8. Intellectual Property

The Service, including its design, features, code, and content, is owned by JUICE and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

You retain ownership of any tokens or digital assets you register with the Service. By using JUICE, you grant us a license to interact with your assets as necessary to provide the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUICE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or digital assets
  • Damages arising from service interruptions, bugs, or security breaches
  • Damages arising from third-party actions, including exchanges and blockchain networks
  • Damages exceeding the fees you paid to us in the 12 months preceding the claim

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

10. Indemnification

You agree to indemnify, defend, and hold harmless JUICE and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of applicable laws or third-party rights
  • Tokens or projects you register with the Service

11. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

You agree to waive your right to participate in class action lawsuits or class-wide arbitration. Each party bears its own costs unless the arbitrator determines otherwise.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

13. Termination

You may terminate your account at any time by contacting support. We may suspend or terminate your access to the Service at our discretion, with or without cause.

Upon termination, you should withdraw any assets held in wallets connected to the Service. We are not responsible for assets left in connected wallets after account termination.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
